If there is going to be only one shareholder (husband and wife are counted as one shareholder) then the same person can fill all the positions. For example, John Q. Smith can be the President, Treasurer, Secretary, sole Board Member and sole Shareholder.
	NOTE -- SPOUSES: There is no legal requirement to list your spouse. However, as a legal matter, your spouse may have an interest in the corporation by virtue of the marital property laws.
	TIP: If you are forming a one person corporation, you don't need a vice president. If you are already the President, obviously you don't need to be a Vice President too.

The S corporation election, if any, does NOT appear in your Articles of Incorporation which we file on your behalf with the State. With respect to timely filing of the election, as a general rule subject to certain exceptions, you have two and one-half months AFTER incorporation within which to file an S corporation election.

A share transfer restriction sets forth a mandatory procedure or mechanism by which the corporation and the non-transferring shareholders have the right to purchase the shares of the transferring shareholder before he or she can transfer the shares to someone else.
