Need to dissolve your corporation?

bulletDelay will cause another $800 minimum franchise tax payment to fall due.
bulletDelay may result in the California Secretary of State (SoS) changing the status of your corporation from "active" to "suspended."
bulletCorporations that are suspended (or that become suspended) are not covered by the low all inclusive attorney's fee stated above.
bulletUnder California tax law there is no such thing as an inactive corporation.

What's NOT covered?

bulletTaxes and tax returns.
bulletYou must be current, or you must become current, during the dissolution process. The FTB will advise the Law Office if the corporation is not current with its taxes or returns. You will NOT need to meet with the FTB. The Law Office will handle all contacts with the FTB and the SoS.
bulletHandling the dissolution of a corporation that is suspended (or that becomes suspended) by the California SoS.

bulletReinstatement of a suspended corporation.
bulletIf you want us to handle the reinstatement of your suspended corporation, just call.
bulletReinstatement will be handled on an hourly fee basis and not on a fixed fee basis.
bulletDissolutions where there is any potential for disputes or dissent
bulletFor the very low fee we charge, we can only handle corporation dissolutions where all interested parties are in agreement and there are no outstanding claims against the corporation.
bulletFor example, all shareholders and all corporation directors must want the dissolution. All corporation debts should be paid and all potential claims against the corporation should be settled.
bulletDissolutions where there are more than 8 shareholders
bulletThe potential for disputes or dissent is too great. The low fee we charge is not designed to handle such dissolutions.

Special notes:

bulletNeither financial statements nor personal guarantees will be needed to complete the dissolution and obtain a Tax Clearance Certificate from the California Franchise Tax Board.
bulletEssentially, the Law Office takes all actions with the FTB and the SOS necessary to dissolve your corporation -- except the preparation of tax returns. The process takes 60 to 90 days so get started now.
bulletIf the corporation has significant corporate debt (unpaid bills) or potential claims against it, do NOT go forward with a corporation dissolution without first consulting with bankruptcy counsel. This Law Office does not handle bankruptcies.
bulletFor the $750 all-inclusive fee to apply, the corporation must have an active status and not suspended status with the Secretary of State. If the corporation has been suspended by the California Secretary of State, then the $750 fee will NOT apply. This is because to dissolve a suspended corporation, the corporation must first be reinstated. Reinstatement involves some rather complex correspondence with the Secretary of State and / or the Franchise Tax Board that is not included in the $750 all-inclusive fee. Please call us for a fee estimate if you want to dissolve a suspended corporation.

bulletWe recommend that you also FAX to us -- +1 (714) 242-9972 -- a copy of your corporation's Articles of Incorporation. A faxed copy would be helpful to us but we can get started without it.
bulletIf you SUBMIT the form below by 12 Noon, you will hear from us by 3 PM by e-mail to CONFIRM that we have started your dissolution and to get a few items of additional information from you.
