1 - OUR FEES:
Our fees are
ALL INCLUSIVE. That means they already
INCLUDE things like our law office
acting as agent for service of process for one year, State of
California filing fees, courier and messenger fees, corporation kit
cost, corporation seal cost, stock certificate printing cost, FedEx fees, and
all attorney fees.
NOTE 2 - FEES OF THE OTHER GUYS:
The corporation formation ads you probably have seen that offer to
do your corporation for $150 or less are, frankly, ridiculous. They
are "bait and switch" ads. By the time you finish adding the
things you really need and want to the low price they advertised, you
will end up paying much more than our all inclusive
fees.
NOTE 3 - THE STATEMENT:
An "annual statement" is the California Secretary
of State Form SI-200, Statement of Information. It is required by
law of new corporations soon after incorporation and annually

Significant Delays
at Office of California Secretary of State (SoS):
Yes, we do deliver your Articles of Incorporation
by hand by courier, but you still need to know that the office of the California
SoS is now taking (due to the California budget crisis, furlough days, reduced state employee hours
and layoffs) up to 30 business days to process new Articles of
Incorporation. When you use us, your Articles will indeed be stamped and
filed by the SoS in one or two business days after you okay the Articles, but we will
not actually get them back from the SoS for up to 30 business days at which
time you will immediately get from us a PDF image of your filed
Articles. If you can't wait that long, you should consider a shelf (aged)
corporation; they are already formed and available right away. (Revised

INCORPORATION
look like?

STATE FILING STAMP AND CORPORATION NUMBER -- The image (above) is an official California
Secretary of State filing stamp and corporation number. This is the way new Articles are stamped after they pass
state legal review. The date in the middle of the official stamp
(JAN 01 2005) is the official filing date -- also
known as the "date of incorporation." The seven digit number
located at the top of the image
(2730442) is a unique number assigned by the Secretary to the
corporation. That number is commonly referred to as the state corporation number or entity
number.
GET FEIN AFTER ARTICLES ARE FILED -- While
the state corporation number (see image above) identifies the corporation, it is NOT a taxpayer
identification number. All corporations must get BOTH an IRS / Federal
employer identification number (FEIN) and a California Employment Development
Department (EDD) employer account number.
Both of these taxpayer numbers (IRS FEIN and EDD employer number)
should be obtained AFTER the date of incorporation. We will prepare for you
an IRS application for FEIN. We do not charge extra for this. It's included.


OFFICIAL SEAL -- The image (above)
is of an official California Secretary of State seal. On filing the
Articles, the current practice of the office of the Secretary is to stamp a
red
seal on the Articles over or near the signature of the
incorporator. There are at least two reasons for this. First, it helps to authenticate the document as official.
Second, it provides an element of security because duplication of the red
seal would be difficult.
