Do you need, under California law, to form a professional corporation?

must by law incorporate with a type of corporation called a "professional
corporation." We
don't charge

What does
INCORPORATION
look like?

STATE FILING STAMP AND CORPORATION NUMBER -- The image (above) is an official California
Secretary of State filing stamp and corporation number. This is the way new Articles are stamped after they pass
state legal review. The date in the middle of the official stamp
(JAN 01 2005) is the official filing date -- also
known as the "date of incorporation." The seven digit number
located at the top of the image
(2730442) is a unique number assigned by the Secretary to the
corporation. That number is commonly referred to as the state corporation number or entity
number.
GET FEIN AFTER ARTICLES ARE FILED -- While
the state corporation number (see image above) identifies the corporation, it is NOT a taxpayer
identification number. All corporations must get BOTH an IRS / Federal
employer identification number (FEIN) and a California Employment Development
Department (EDD) employer account number.
Both of these taxpayer numbers (IRS FEIN and EDD employer number)
should be obtained AFTER the date of incorporation. We will prepare for you
an IRS application for FEIN. We do not charge extra for this. It's included.


OFFICIAL SEAL -- The image (above)
is of an official California Secretary of State seal. On filing the
Articles, the current practice of the office of the Secretary is to stamp a
red
seal on the Articles over or near the signature of the
incorporator. There are at least two reasons for this. First, it helps to authenticate the document as official.
Second, it provides an element of security because duplication of the red
seal would be difficult.
